These Terms of Service (“Terms”) govern your access to and use of baidu.blog.icechui.com and related pages (the “Website” or “Services”) provided by ICECHUI (“ICECHUI”, “we”, “us”, “our”). By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy and Disclaimer (collectively, the “Agreements”). If you do not agree, do not use the Services.


1. Who We Are & Scope#

The Services provide blog content and community features (including a comment section). From time to time we may add, modify, or discontinue features. Some features may be experimental or available to limited users.


2. Eligibility#

You must be at least 18 years old to use the Services. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.


3. Privacy#

Our Privacy Policy explains what we collect and how we use it. In short: we do not use cookies for tracking; the comment system may process IP addresses for security/anti-spam, but we do not publicly display country/region. See the Privacy Policy for details and choices.


4. Accounts (If Any)#

The Website does not require login for reading or commenting (anonymous or nickname posting). If we later offer accounts:

  • You must provide accurate information and keep credentials secure.
  • You are responsible for activities under your account and must notify us of unauthorized use.

We may suspend or terminate accounts for violations of these Terms or to protect users or the Services.


5. User Content (Comments & Submissions)#

Visibility. Comments and other content you submit (“User Content”) may be publicly visible to visitors and search engines. Do not post personal information you do not wish to make public.

Prohibited Content. You will not submit content that is illegal; defamatory; harassing; hateful; invasive of privacy; pornographic; exploits minors; infringes IP or publicity rights; doxxes others; contains malware or spam; or otherwise violates these Terms.

Moderation. We may (but have no obligation to) pre-screen, monitor, edit, remove, or disable access to any User Content at our discretion, at any time, without notice.

Ownership & License. You retain ownership of your User Content. You grant ICECHUI a worldwide, non-exclusive, royalty-free, transferable and sublicensable license to host, store, reproduce, adapt, translate, create derivative works (for formatting, moderation, or accessibility), distribute, publicly perform and display your User Content solely to operate, protect, improve, and promote the Services. This license survives for a reasonable time after deletion to allow technical caching, backups, dispute resolution, and legal compliance.

No Country Disclosure. We do not publicly display IP-derived country/region in the comment area.


6. Acceptable Use#

You agree not to:

  • Violate any applicable law or third-party rights;
  • Impersonate others or misrepresent your affiliation;
  • Access or scrape the Services via bots/crawlers except for standard search indexing;
  • Interfere with or disrupt the Services, introduce malware, or attempt to bypass security or rate limits;
  • Reverse engineer or attempt to derive source code, except where permitted by law.

7. Intellectual Property#

Except for User Content, the Services and their original content are owned by or licensed to ICECHUI and protected by applicable laws. You may not copy, modify, or use our content or trademarks without prior written permission.


The Services may link to third-party sites or use third-party providers (e.g., hosting, anti-spam). We do not control or endorse third parties and are not responsible for their content or practices. Your dealings with third parties are solely between you and them.


9. Payments, Purchases & Subscriptions (If Offered)#

Some features may be paid (“Paid Services”).

  • Billing & Renewal. Subscriptions (if any) renew automatically each billing cycle unless cancelled in your settings or by contacting legal@icechui.com.
  • Accuracy. You represent that payment information is accurate and you’re authorized to use it. We may use payment processors; your information will be handled per our Privacy Policy.
  • Refusal/Cancellation. We may refuse or cancel orders for suspected fraud, unlawful transactions, unavailability, errors, or misuse.
  • Refunds. Unless otherwise stated, we offer refunds for contracts within 7 days of original purchase.

10. Free Trials (If Offered)#

We may offer free trials at our discretion and may modify or cancel any trial at any time. If billing details are required to start a trial, you will not be charged until the trial ends; then regular fees apply unless you cancel before the end of the trial.


11. Feedback#

If you send suggestions, ideas, or feedback (“Feedback”), you agree we may use it without restriction or compensation, and you waive any claims to IP or confidentiality in the Feedback to the extent permitted by law.


12. DMCA & IP Complaints#

We respect IP rights. To submit a DMCA notice, email legal@icechui.com with:
(1) signature of the rights owner or agent; (2) identification of the copyrighted work;
(3) URL/location of the allegedly infringing material; (4) your contact info;
(5) a good-faith statement of unauthorized use; (6) a statement under penalty of perjury that your notice is accurate and you are authorized to act. Misrepresentations may expose you to liability.


13. Service Changes & Availability#

We may change, suspend, or discontinue any part of the Services at any time without notice. The Services may be unavailable from time to time due to maintenance, outages, or events beyond our control.


14. Warranties Disclaimed#

The Services are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and performance. We do not warrant that the Services will be error-free, secure, uninterrupted, or that defects will be corrected.


15. Limitation of Liability#

To the maximum extent permitted by law, ICECHUI and its affiliates, officers, employees, and agents will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages; or for lost profits, revenues, data, goodwill, or business opportunities, arising from or related to your use of (or inability to use) the Services. Where liability cannot be excluded, it is limited to the amount you paid (if any) for the Services in the 12 months before the claim.


16. Indemnification#

You will defend, indemnify, and hold harmless ICECHUI and its affiliates, officers, employees, and agents from and against claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms or applicable law; or (d) your infringement or misappropriation of any rights of a third party.


17. Force Majeure#

Neither party is liable for delays or failure to perform due to events beyond reasonable control (e.g., natural disasters, war, terrorism, civil unrest, government actions, labor disputes, Internet or utility failures). Fees (if any) do not accrue for affected services during force majeure.


18. Export & Sanctions Compliance#

You agree to comply with applicable export control and sanctions laws. You will not use the Services in or for the benefit of embargoed or sanctioned jurisdictions, entities, or persons.


19. Notices#

We may provide notices by posting on the Website or by email to the address you provide. You consent to receive notices electronically.


20. Changes to These Terms (No Separate Notice)#

We may update these Terms at any time. The updated version will be posted here with a revised “Last Updated” date and is effective upon posting. We are not required to provide separate or advance notice unless required by law. Your continued use after posting constitutes acceptance of the updated Terms.


21. Assignment; No Third-Party Beneficiaries#

You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets. These Terms create no third-party beneficiary rights.


22. Governing Law & Venue (California)#

These Terms and any dispute or claim arising out of or relating to the Services are governed by the laws of the State of California, United States, without regard to conflict-of-law rules. You agree that the state or federal courts located in San Francisco County, California have exclusive jurisdiction and venue, and you consent to personal jurisdiction in those courts. Class Action Waiver & Jury Trial Waiver. To the extent permitted by law, you and ICECHUI waive any right to participate in class or representative actions and waive the right to a jury trial.


23. Severability; Waiver; Interpretation#

If any provision is held invalid or unenforceable, the remaining provisions remain in effect. No waiver is effective unless in writing. Headings are for convenience only. “Including” means “including without limitation.” The English version controls over any translation.


24. Entire Agreement; Survival#

These Terms, together with the Privacy Policy and Disclaimer, are the entire agreement regarding the Services and supersede prior agreements. Sections that by their nature should survive (e.g., IP, licenses, disclaimers, limitations, indemnities, governing law) survive termination.
